Freshfields advises Montana Tech Components on its sale of Aluflexpack

Global law firm Freshfields Bruckhaus Deringer (‘Freshfields’) has advised Montana Tech Components AG (‘MTC’) on the regulatory aspects of the announced sale of their entire stake in Aluflexpack AG (‘Aluflexpack’) to Constantia Flexibles (‘Constantia’).

The publicly listed Aluflexpack and Constantia, a global packaging manufacturer, announced that Constantia has entered into a share purchase agreement to acquire approximately 57% of the shares of AFP from MTC and Xoris GmbH and, in parallel, will launch an all cash public tender offer for all publicly held registered shares of AFP for CHF 15.00 per share to CHF 18.75 per share.

Closing of the SPA is subject to the outcome of the regulatory process and the offer is subject to certain terms and conditions including regulatory approvals.

Freshfields advised MTC on the regulatory aspects of the transaction. Swiss Law Firm Walder Wyss advised MTC on all other legal aspects of the transaction.
