Freshfields advises Cinven on its acquisition of MBCC Group’s Admixtures business

Freshfields Bruckhaus Deringer (‘Freshfields’) is advising international private equity firm Cinven on Cinven Funds’ agreement to acquire MBCC Admixtures, a leading global manufacturer of concrete admixtures and sustainable solutions for the construction industry operating under the “Master Builders” brand, from Sika AG.

Headquartered in Germany and with 35 production sites worldwide, the MBCC Admixtures business provides value-added technology and chemistry expertise to improve the performance of construction materials and to enable the reduction of CO2 emissions in the production of concrete.

The acquisition of MBCC Admixtures builds on Cinven’s significant expertise in the admixtures market and reputation for being a leading investor in industrial carve-outs.  Completion of the transaction is subject to regulatory approvals and the simultaneous completion of Sika AG’s acquisition of the wider MBCC Group.

The Freshfields team is led by Munich-based partner Wessel Heukamp and principal associate Verena Nosch, and London-based senior associate Maria Ledeneva, together with antitrust partner Alan Ryan and IP partner Philipp Dohnke.
