Profil Samuel Sun

Sam is a corporate associate in our global transaction group in London, specialising in advising clients on public and private M&A transactions and general corporate and listed company matters.

During his time at Freshfields, Sam has spent time on secondment at the firm's Singapore office. 

Mandate

Sam's experience includes advising:

  • Sanofi in respect of their entry into exclusive negotiations with Clayton Dubilier & Rice for the purchase and sale of a 50% controlling stake in Opella, its consumer healthcare business
  • UKGI in relation to HMT’s trading plan and sale of shares in NatWest Group
  • Deliveroo on its tender offer to return £250 million to shareholders
  • RELX on various acquisitions and disposals by its LexisNexis Risk Solutions division
  • General Atlantic's BeyondNetZero on its lead investment in Venterra's fourth fundraising round of £150 million
  • MTN Group on various disposals of non-core assets across Africa
  • Macromill, Inc. on the sale of MetrixLab to leading global insights technology and panel provider Toluna, in return for a 17.4% stake in Toluna and a EUR 63.5 million receivable
  • Croda International Plc on the sale of a majority of its Performance Technologies and Industrial Chemicals businesses to Cargill
  • A major global US headquartered tech company on a series of bolt-on private acquisitions of digital content and AI related software businesses across Europe from founders and funders
  • General Atlantic and Dragoneer Investment Group on their investment in VNLife Corporation, Vietnam's second unicorn and leading fintech digital payments company
  • CPPIB on its investments in: (i) Flipkart Group, one of India's leading digital commerce companies, alongside GIC, Softbank and Walmart; and (ii) Eruditus Group, a global edtech business
  • A Middle Eastern sovereign wealth fund as a major shareholder in ReNew Power in ReNew’s business combination with SPAC RMG Acquisition Corp. II
  • Blackstone on its privatisation and delisting of SGX-listed Soilbuild Business Space REIT
  • London Stock Exchange Group plc on: (i) its acquisition of Refinitiv in an all-share transaction for a total enterprise value of $27 billion; and (ii) its €4.325 billion disposal of the Borsa Italiana Group
